Basics of Investment Crowdfunding

Investment crowdfunding allows multiple individuals to pool their money to invest in a private company. In exchange for your investment, you receive shares (equity), debt instruments, or investment contracts in the business.

How Pennyr Works

  1. Discover: Browse vetted private placement offerings from Nigerian MSMEs.
  2. Evaluate: Review their offering documents, financial projections, and use of funds.
  3. Invest: Commit funds through our secure SEC-registered Escrow Custodian.
  4. Grow & Trade: Once closed, the company may list on the Pennyr secondary market, allowing you to trade your shares with other registered investors.

Escrow Protection

Your funds are held securely in an Escrow Trust Account. If the fundraiser does not meet their minimum funding threshold (at least 50% under SEC rules) within the offering period, 100% of your money will be refunded.
